KeepStamp Terms and Conditions

Welcome to KeepStamp. These Terms and Conditions (“Terms”) govern your access to and use of the KeepStamp website, mobile application, digital loyalty platform, QR stamp features, reward redemption features, merchant discovery features, and any related services provided by KeepStamp collectively, the “Platform”.

By accessing, registering for, or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any additional policies, campaign rules, or notices displayed on the Platform. If you do not agree to these Terms, you must not access or use the Platform.

1. Definitions

In these Terms:

“KeepStamp”, “we”, “us”, or “our” refers to the operator of the KeepStamp Platform.

“User”, “you”, or “your” refers to any person who accesses or uses the Platform.

“Customer” refers to a user who collects stamps, views merchant campaigns, or redeems rewards through the Platform.

“Merchant” refers to a business, outlet, service provider, or organisation that uses the Platform to create or manage loyalty campaigns, stamp cards, rewards, or promotions.

“Campaign” refers to any digital stamp card, reward programme, promotion, offer, voucher, or loyalty activity made available through the Platform.

“Reward” refers to any benefit, product, service, discount, voucher, free item, privilege, or promotional entitlement offered by a Merchant through the Platform.

2. Platform Purpose

KeepStamp provides a digital loyalty and stamp card platform that connects Customers with participating Merchants.

The Platform may allow Customers to:

a. collect digital stamps through QR codes or other approved methods; b. track stamp balances and reward progress; c. discover participating Merchants, outlets, and campaigns; d. view campaign terms, reward conditions, and redemption requirements; and e. redeem rewards offered by participating Merchants.

KeepStamp acts as a technology platform and intermediary. Unless expressly stated otherwise, KeepStamp is not the seller, supplier, employer, agent, partner, or representative of any Merchant. KeepStamp is not a party to any transaction, service arrangement, or reward fulfilment agreement between a Customer and a Merchant.

3. Eligibility and Account Registration

You may be required to create an account to access certain features of the Platform.

By creating an account, you confirm that:

a. the information you provide is accurate, current, and complete; b. you will keep your account information updated; c. you are legally capable of accepting these Terms; and d. you will use the Platform only for lawful and legitimate purposes.

If you are below the age of legal capacity in your jurisdiction, you should use the Platform only with the consent and supervision of a parent or legal guardian.

KeepStamp reserves the right to reject, suspend, or terminate any account if we reasonably believe that the registration information is false, misleading, incomplete, abusive, fraudulent, or otherwise in breach of these Terms.

4. Account Security

You are responsible for maintaining the confidentiality of your account login details and for all activities carried out under your account.

You agree to notify KeepStamp immediately if you suspect any unauthorised access, loss of credentials, security breach, misuse, or suspicious activity involving your account.

KeepStamp is not responsible for losses arising from unauthorised account use where such use results from your failure to keep your login credentials secure, unless such loss is caused by KeepStamp’s own negligence or breach of applicable law.

5. Customer Responsibilities

Customers agree to use the Platform honestly, fairly, and in good faith.

You must not:

a. manipulate, forge, falsify, duplicate, or unlawfully obtain stamps or rewards; b. create multiple accounts to bypass campaign limits, reward restrictions, or redemption rules; c. scan QR codes without a genuine qualifying transaction or Merchant approval; d. attempt to redeem rewards that you are not entitled to receive; e. interfere with, damage, disrupt, or gain unauthorised access to the Platform, Merchant systems, or other user accounts; f. use bots, scripts, automated tools, scraping tools, or other unauthorised methods to access or manipulate the Platform; g. use the Platform for fraud, abuse, harassment, illegal activity, or any purpose that may harm KeepStamp, Merchants, Customers, or third parties; or h. upload, submit, or transmit content that is unlawful, misleading, defamatory, offensive, harmful, or infringes third-party rights.

Any breach of this clause may result in stamp reversal, reward cancellation, account suspension, account termination, and/or forfeiture of rewards.

6. Merchant Campaigns, Rewards, and Redemption

All Campaigns, Rewards, promotions, stamp requirements, validity periods, outlet availability, redemption conditions, exclusions, and limitations are set by the relevant Merchant.

Unless expressly stated otherwise:

a. Rewards are provided and fulfilled solely by the relevant Merchant; b. eligibility for Rewards is determined by the Merchant’s stated campaign conditions; c. the Merchant is responsible for honouring valid Rewards in accordance with its published terms; d. Rewards are not exchangeable for cash; e. Rewards are not transferable unless the Merchant expressly allows transfer; f. Rewards may be subject to expiry dates, outlet restrictions, stock availability, appointment availability, service exclusions, blackout dates, or other Merchant conditions; and g. once redeemed, Rewards may not be reinstated unless the Merchant or KeepStamp determines otherwise.

KeepStamp facilitates the display, tracking, and redemption workflow for Rewards, but does not guarantee the availability, quality, safety, suitability, value, or fulfilment of any Merchant Reward.

The final decision on Reward eligibility, acceptance, rejection, fulfilment, or dispute resolution rests with the relevant Merchant, unless the issue arises from a technical error within the Platform.

7. Digital Stamps

Digital stamps have no cash value and do not represent money, stored value, securities, payment instruments, or legal tender.

Stamps may only be collected through authorised methods approved by KeepStamp and the relevant Merchant.

A Merchant may set its own rules for stamp collection, including but not limited to:

a. minimum spend requirements; b. eligible products or services; c. excluded items; d. participating outlets; e. stamp validity periods; f. campaign expiry dates; g. maximum stamps per transaction; and h. redemption requirements.

KeepStamp and/or the relevant Merchant may reverse, adjust, cancel, or withhold stamps or Rewards where we reasonably believe that:

a. stamps were issued by mistake; b. a transaction was cancelled, refunded, reversed, or invalid; c. stamps were obtained fraudulently, dishonestly, or in breach of campaign rules; d. there was a technical error, system error, or duplicate issuance; or e. the User breached these Terms.

8. Merchant Responsibility

Merchants are responsible for ensuring that all Campaigns, Rewards, descriptions, outlet details, business information, images, prices, conditions, and promotional materials submitted to the Platform are accurate, lawful, up to date, and not misleading.

Merchants are solely responsible for:

a. complying with applicable consumer protection, advertising, marketing, data protection, tax, licensing, and business laws; b. ensuring they have the right to offer and fulfil their Campaigns and Rewards; c. honouring the terms they publish on the Platform; d. handling Customer service issues relating to their products, services, outlets, staff, or Rewards; and e. resolving disputes with Customers relating to Merchant goods, services, or Reward fulfilment.

KeepStamp may remove, suspend, hide, edit, reject, or restrict any Campaign, Merchant profile, or Reward if we reasonably believe it is inaccurate, unlawful, misleading, abusive, harmful, expired, disputed, or in breach of these Terms.

Merchants may also be subject to separate Merchant Terms, subscription terms, service terms, or commercial agreements with KeepStamp. In the event of conflict between these General Terms and any applicable Merchant Terms, the Merchant Terms shall apply to the Merchant’s use of the Platform.

9. Information Displayed on the Platform

KeepStamp may display Merchant names, outlet information, descriptions, campaign details, reward information, opening hours, images, logos, and other content provided by Merchants.

While we may take reasonable steps to maintain the quality of information on the Platform, we do not guarantee that all Merchant information is always accurate, complete, current, or error-free.

Customers should check the relevant Campaign terms and, where necessary, confirm details directly with the Merchant before making a purchase, visiting an outlet, or attempting to redeem a Reward.

10. Privacy and Personal Data

Your use of the Platform may involve the collection, use, disclosure, storage, and processing of personal data.

KeepStamp will handle personal data in accordance with our Privacy Policy and applicable data protection laws.

By using the Platform, you acknowledge that personal data may be used for purposes such as:

a. account creation and authentication; b. stamp tracking and reward redemption; c. communication with you; d. fraud prevention and security; e. customer support; f. service improvement and analytics; and g. compliance with legal and regulatory obligations.

Where required, KeepStamp may share relevant information with participating Merchants to enable stamp issuance, reward redemption, transaction verification, customer support, fraud prevention, or campaign administration.

You should read our Privacy Policy carefully before using the Platform.

11. Platform Availability and Changes

KeepStamp aims to provide a reliable Platform, but we do not guarantee that the Platform will always be available, uninterrupted, secure, or error-free.

The Platform may be unavailable from time to time due to maintenance, updates, technical issues, internet disruptions, third-party service failures, cyber incidents, force majeure events, or circumstances beyond our reasonable control.

KeepStamp may at any time modify, update, suspend, discontinue, replace, or remove any part of the Platform, including features, designs, campaign tools, QR functions, redemption flows, account functions, or Merchant listings.

Where practical, we may provide notice of material changes. However, KeepStamp is not liable for any loss arising from changes, suspension, downtime, or discontinuation of the Platform, except where liability cannot be excluded under applicable law.

12. Third-Party Services and Links

The Platform may contain links, integrations, payment services, maps, websites, applications, tools, or content provided by third parties.

KeepStamp does not control and is not responsible for third-party services, websites, content, policies, products, or practices.

Your use of any third-party service is subject to that third party’s own terms and policies. You access third-party services at your own risk.

13. Intellectual Property

All intellectual property rights in the Platform, including but not limited to software, source code, databases, designs, layouts, logos, trademarks, graphics, text, icons, workflows, user interface elements, and Platform technology, belong to KeepStamp or its licensors.

You may use the Platform only for its intended purpose and in accordance with these Terms.

You must not, without KeepStamp’s prior written consent:

a. copy, reproduce, modify, adapt, translate, distribute, sell, lease, or exploit any part of the Platform; b. reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform; c. remove, alter, or obscure any copyright, trademark, or proprietary notice; d. use KeepStamp’s name, logo, branding, or trademarks in a misleading or unauthorised manner; or e. create a competing product or service using KeepStamp’s Platform, data, designs, or technology.

14. User Content and Feedback

If you submit content, feedback, suggestions, reviews, images, messages, or other materials to KeepStamp, you confirm that you have the right to do so and that such content does not violate any law or third-party rights.

You grant KeepStamp a non-exclusive, worldwide, royalty-free licence to use, host, store, reproduce, display, modify, and process such content as reasonably necessary to operate, improve, promote, protect, and provide the Platform.

KeepStamp may remove or restrict any content that we consider unlawful, misleading, inappropriate, offensive, harmful, infringing, or in breach of these Terms.

15. Prohibited Conduct

You must not:

a. use the Platform in any way that breaches applicable laws or regulations; b. impersonate another person, business, or entity; c. interfere with the normal operation or security of the Platform; d. introduce viruses, malware, harmful code, or other destructive material; e. attempt to bypass security measures, authentication systems, usage limits, or access controls; f. collect, scrape, harvest, or misuse data from the Platform without authorisation; g. use the Platform to send spam, scams, phishing messages, or unlawful communications; h. abuse promotions, campaigns, rewards, referrals, or stamp collection features; or i. act in a way that damages the reputation, security, or integrity of KeepStamp, Merchants, or other Users.

16. Suspension and Termination

KeepStamp may suspend, restrict, or terminate your account or access to the Platform at any time if we reasonably believe that:

a. you have breached these Terms; b. you have engaged in fraud, abuse, suspicious activity, or unlawful conduct; c. your account creates security, legal, financial, reputational, or operational risk; d. you misuse stamps, Rewards, campaigns, or Merchant features; e. we are required to do so by law, regulation, court order, authority request, or platform provider requirement; or f. continued access would be harmful to KeepStamp, Merchants, Customers, or third parties.

Upon suspension or termination, you may lose access to your account, stamps, Rewards, campaign history, and Platform features. KeepStamp may also cancel or reverse stamps or Rewards obtained in breach of these Terms.

You may stop using the Platform at any time. Account deletion requests may be handled in accordance with our Privacy Policy and applicable law.

17. Disputes Between Customers and Merchants

Any dispute relating to a Merchant’s goods, services, staff, pricing, outlet operations, Reward fulfilment, campaign conditions, or customer service should be raised directly with the relevant Merchant.

KeepStamp may, at its discretion, assist with communication or technical verification, but is not obliged to mediate, resolve, compensate, or make decisions in disputes between Customers and Merchants.

KeepStamp is not responsible for any loss, dissatisfaction, injury, delay, refusal, cancellation, poor service, or failure caused by a Merchant, unless directly caused by KeepStamp’s own breach of these Terms or applicable law.

18. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis.

To the fullest extent permitted by applicable law, KeepStamp disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, and security.

KeepStamp does not warrant that:

a. the Platform will always be uninterrupted, secure, timely, or error-free; b. defects or errors will always be corrected; c. the Platform will meet your expectations or requirements; d. Merchant information will always be accurate or up to date; e. any Reward will be available, suitable, or fulfilled by a Merchant; or f. the Platform will be free from viruses, malware, or harmful components.

Nothing in these Terms excludes any warranty, right, or liability that cannot be excluded under applicable law.

19. Limitation of Liability

To the fullest extent permitted by applicable law, KeepStamp and its affiliates, officers, employees, contractors, agents, service providers, and licensors shall not be liable for:

a. indirect, incidental, special, consequential, exemplary, or punitive damages; b. loss of profits, revenue, business, goodwill, opportunity, savings, data, or reputation; c. disputes between Customers and Merchants; d. Merchant refusal, delay, failure, or inability to honour Rewards; e. inaccurate, incomplete, outdated, or misleading Merchant information; f. unauthorised account access caused by your failure to protect your login credentials; g. Platform downtime, delays, bugs, technical issues, or third-party service failures; or h. events outside KeepStamp’s reasonable control.

To the fullest extent permitted by applicable law, KeepStamp’s total aggregate liability for all claims arising out of or relating to these Terms or the Platform shall not exceed the higher of:

a. the total amount you paid directly to KeepStamp, if any, in the six months immediately before the event giving rise to the claim; or b. SGD 100.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, wilful misconduct, or any liability that cannot be limited or excluded under applicable law.

20. Indemnity

You agree to indemnify and hold harmless KeepStamp and its affiliates, officers, employees, contractors, agents, service providers, and licensors from and against any claims, demands, proceedings, losses, damages, liabilities, costs, and expenses, including reasonable legal fees, arising out of or relating to:

a. your use or misuse of the Platform; b. your breach of these Terms; c. your violation of any law, regulation, or third-party right; d. fraud, abuse, or misconduct connected to your account; e. content or information you submit to the Platform; or f. any dispute between you and a Merchant, except to the extent caused by KeepStamp’s own breach of these Terms or applicable law.

21. Changes to These Terms

KeepStamp may update these Terms from time to time.

The updated Terms will be posted on the Platform with the revised “Last Updated” date. Where changes are material, we may take reasonable steps to notify Users, such as by in-app notice, website notice, or email.

Your continued access to or use of the Platform after the updated Terms take effect constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Platform.

22. Force Majeure

KeepStamp shall not be liable for any delay, failure, interruption, or non-performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, labour disputes, government actions, power failures, internet outages, cyberattacks, payment provider failures, hosting provider failures, or third-party service disruptions.

23. No Waiver

If KeepStamp does not enforce any provision of these Terms immediately, this does not mean that we waive our right to enforce that provision later.

Any waiver must be made in writing to be effective.

24. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the relevant provision shall be removed, and the remaining provisions shall continue in full force and effect.

25. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without KeepStamp’s prior written consent.

KeepStamp may assign, transfer, or delegate its rights or obligations under these Terms in connection with a merger, acquisition, restructuring, sale of assets, change of control, or operation of law.

26. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of Singapore.

Subject to any rights you may have under applicable consumer protection laws, the courts of Singapore shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the Platform, or your use of KeepStamp.
